This Site gives you an opportunity to browse and purchase products and services for female entrepreneurs offered by DIGITAL ENTREPRENEUR (Digital Entrepreneur, we, us).

These Terms and Conditions (Terms) govern your use of this Site, as well as Digital Entrepreneur’s products and services, and form a binding contractual agreement between you and us.

These Terms are important and you should ensure that you read them carefully and contact Digital Entrepreneur at support@digitalentrepreneur.biz if you have any questions before purchasing our products or engaging our services.

These Terms constitute the entire and only agreement between you and us and supersedes all prior agreements, conduct, representations and understandings.

 

Digital Entrepreneur Agency is pleased to set out their Terms and Conditions, which will apply to the work we do for you. These Terms and Conditions and the Quote/Production Estimate supplied to you form the contract between us for the provision of Digital Entrepreneur Agency’s services.

 

Acceptance of Terms

 

1.By accessing, downloading or using the products and services offered on our Site, whether or not you register as a member, you agree to be bound by these Terms, which you acknowledge that you have read and understood.

2.We may change all or part of these Terms at any time. If we do, the new terms and conditions will be posted on this Site. Your continued use of the Site will constitute your acceptance of any changes. 7.Digital Entrepreneur cannot and does not make any guarantees about your ability to get results or earn any money with our ideas, information, tools, or strategies. You acknowledge that there is an inherent risk in any business enterprise or activity and agree there is no guarantee that you will earn any money as a result of your purchase of our products and/or services.

8.Any financial representations referenced by us on the Site, in our videos, forums or during the provision of our services are illustrative of concepts only and should not be considered as promises for actual or future performance.

9.Before you purchase our products and/or services, you must register an account with us.

10.You must provide accurate, complete and up-to-date registration information, as requested, and it is your responsibility to inform us of any changes to your registration information.

11.We may at any time request a form of identification to verify your identity.

12.If you are a registered user or member to this Site, you acknowledge and agree that:

15.When using our products and/or services, you may be given access to Facebook groups, other online or in person forums of the Digital Entrepreneur Online Community in which you may post comments, photos, messages or other material (Your Content). When posting Your Content, you agree that you will not post or otherwise publish through this Site or our Digital Entrepreneur Community any of the following:

  1. Content that is unlawful, fraudulent, misleading, deceitful, threatening, abusive, libellous, defamatory, obscene, pornographic, indecent, lewd, harassing, threatening, abusive, offensive, inflammatory or otherwise objectionable.
  2. Content that harasses, degrades, intimidates or is hateful to an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age or disability.
  3. Information that includes personal or identifying information about another person without that person’s consent.
  4. Information that constitutes promotion or advertisement for groups, events or activities organised through competing social clubs, activity sites and internet platforms, except as otherwise expressly permitted by us.
  5. Any information or content that impersonates any person or entity.
  6. Any material, non-public information about companies without authorisation to do so.
  7. Any advertisements, solicitations, chain letters, pyramid schemes, investment opportunities or other unsolicited commercial communication (except as otherwise expressly permitted by us).

16.By posting or otherwise publishing Your Content on our Site or Digital Entrepreneur Community, you:

  1. Grant us a non-exclusive, worldwide, royalty-free, perpetual, licence to use, reproduce, edit and exploit Your Content in any form and for any purpose;
  2. Warrant that you have the right to grant the above licences;
  3. Warrant that Your Content does not breach these Terms; and
  4. Consent to any act or omission which would otherwise constitute an infringement of your moral rights, and if you add any content in which any third party has moral rights, you must also ensure that the third party also consents in the same manner.

17.We reserve the right (but have no obligation) to:

  1. Review, modify, reformat, reject or remove Your Content that, in our opinion, violates these Terms or otherwise has the potential to harm, endanger or violate the rights of any person; and
  2. Monitor use of the Site, and store or disclose any information that we collect, including in order to investigate compliance with the Terms or for the purposes of any police investigation or governmental request.

18.Our Site and Digital Entrepreneur  Community is a space for learning and is a pitch-free (unless in a thread), solicitation-free and sales-free environment.

19.Whilst using this Site and/or our Digital Entrepreneur Community, we ask that you not:

  1. Contact anyone who has asked not to be contacted.
  2. Collect personal data about other users for commercial or unlawful purposes.
  3. Infringe other user’s privacy rights.
  4. Violate the intellectual property of others.
  5. Post anything that contains software viruses, worms or any other harmful code; or
  6. Use manual or automated software, devices, script robots, other means or processes to access our Site or any related data or information.

Confidentiality

 

We respect your confidential and proprietary information, ideas, plans and trade secrets (collectively, Confidential Information) and by using our products and/or services, you agree to respect the same rights of the other Digital Entrepreneur product and/or services participants (Participants) and representatives of Digital Entrepreneur.

You agree:

  1. That any confidential information shared by Participants or any of our representatives is confidential and proprietary and belongs solely and exclusively to the Participant who discloses it or to us.
  2. Not to disclose such information to any other person or use it in any manner other than in discussion with Participants during training sessions.
  3. That all materials and information provided to you by us are our confidential and proprietary information and intellectual property, belong solely and exclusively to us, and may only be used by you as authorised by us.
  4. That if you violate, or threaten to violate, any of your agreements contained in this paragraph we will be entitled to, among other things, injunctive relief to prohibit such violations.
21.While you are free to discuss your personal results from our services, you must keep the experience and statements, oral or written, of the Participants in the strictest of confidence.

22.All material on this Site, in our Digital Entrepreneur Community or otherwise delivered by us including (but not limited to) course content, text, graphics, information architecture and coding (Our Content), is subject to copyright. While you may access, browse or print Our Content for non-commercial, personal or internal business use, you must obtain our prior express written permission if you’d like to use, copy, record or reproduce it. Modification of Our Content for any other purpose is a violation of our copyright and other proprietary rights and is strictly prohibited.
25.You acknowledge that you do not acquire any ownership rights by using the Site or Our Content.
26.You agree that damages may be an inadequate remedy to a breach of these Terms and acknowledge that Digital Entrepreneur will be entitled to seek injunctive relief if such steps are necessary to prevent violations of its intellectual property rights.

This site may use affiliate links to sell certain products or services. We disclaim any and all liability as a result of your purchase through one of these links. We will use reasonable efforts to notify you when and where we have placed affiliate links in addition to this disclaimer located in these Terms & Conditions. You accept express liability for any and all consequences or benefits of clicking the affiliate links contained on this website or related communications.

 

1.Digital Entrepreneur Agency’s Role: This relates to our done-for-you services

1.1. The Services: Digital Entrepreneur Agency will provide the services described in the Quote/Production Estimate as presented. As an assignment develops, it may be that the scope of the required work changes. Where this is the case, Think will seek to discuss it with you at the earliest opportunity in order to agree upon any variations to the scope of the Services and the Quote/Production Estimate, which may be necessary.

Authors Corrections. Unless specified in the Quote/Proposal, we include 2 rounds of changes on all items following the presentation of an initial concept. Revisions briefed thereafter will be charged according to Digital Entrepreneur Agency’s standard hourly rate card.

1.2. Information: To maximise Digital Entrepreneur Agency’s effectiveness we must work with you as a team. Often Digital Entrepreneur Agency’s work will be dependent on you (or your other advisers) providing information promptly. To avoid unnecessary verification, Digital Entrepreneur Agency will assume all information you provide is complete and accurate unless you tell us otherwise.

1.3. Incidentals: Couriers or printed proofs from external printers if required, to be charged to client.

1.4. Termination: Should you wish to terminate the contract after the commencement of work, you will be invoiced for work already completed.

1.5. Force Majeure: Digital Entrepreneur Agency shall not be liable for any delay or failure to perform their obligations where such delay or failure to perform arises from circumstances outside Digital Entrepreneur Agency’s reasonable control.

2.Payment Terms:

2.1. Payment Terms: Invoices shall be settled by bank transfer into Digital Entrepreneur Agency’s nominated bank account before commencement of work, unless agreed otherwise with a part-payment. Digital Entrepreneur Agency retain ownership of all work until full payment has been made.

2.2. Other Specialist Services: Digital Entrepreneur Agency’s estimate is exclusive of third-party costs such as photography, illustration, video production, etc unless otherwise included in the estimate. Digital Entrepreneur Agency may, unless you instruct us otherwise, seek such specialist services on areas outside our expertise. The costs of such services will be passed on to and will be quoted according.

3.Scoping:

3.1. In most cases, Digital Entrepreneur Agency will provide a scoping document which details the functionality in the work we do for our clients, this includes but is not limited to a funnels, website, email marketing, application or marketing campaign. Where the client signs and approves this scoping document, any changes beyond the scope will be handled as a new update and priced accordingly.

4.Content:

4.1. Content and Images:  It is your responsibility to provide us with the required information about your business and marketing objectives. Digital Entrepreneur Agency takes no responsibility for errors in content supplied by you. Any changes thus incurred may be chargeable at standard rates. Unless specified otherwise, it is your responsibility to provide all necessary text and graphic materials that make up the content of the work. All content must be supplied in a suitable digital format unless agreed otherwise beforehand. Images should be supplied as jpeg, gif, tif, png or psd format. Text should be supplied as a Microsoft Word document. Failure to supply material in an easily accessible format may result in additional cost being incurred for retyping text. Where the content which is provided is in a form where a significant amount of copy writing is required, a further charge may be made.

4.2. Information for charts, graphs, and infographics to be supplied in Excel. If we are required to retype large amounts of content, then additional costs may be incurred.

4.3. Client supplied images should always be high-res images at 300DPI for print purposes. If they are solely for use on the web, then lower resolution images are acceptable.  Digital Entrepreneur Agency will assume that all images supplied to us are owned by the Client or have been purchased from stock libraries and are licensed to the client for use.  We cannot use images taken from Google.

4.4. If you are using images of children that you have taken, then we will assume that you have been given the permission to use these images.

4.5. You grant Digital Entrepreneur Agency permission to utilise logos and any other company identity for the purposes of creating the project. You agree to indemnify Digital Entrepreneur Agency from any and all claims arising from your negligence or inability to obtain proper copyright permissions for all content supplied.

5.Confidentiality:

5.1. Confidentiality: Save as required by law, Digital Entrepreneur Agency will keep your documents and affairs confidential at all times, unless you permit disclosure or the relevant circumstances are already in the public domain. Think may, however, disclose your documents and affairs to:

(i)  such of your other service providers as you inform Digital Entrepreneur Agency are involved in any assignment on which Digital Entrepreneur Agency is instructed;

(ii) Digital Entrepreneur Agency’s affiliates or related parties; and

(iii)  any other service provider to whom Digital Entrepreneur Agency may properly delegate aspects of any assignment in order to provide a full range of services to you.

6.Intellectual Property:

6.1. Freedom to use Ideas and IP: Digital Entrepreneur Agency may develop or use for other clients any ideas, concepts, source code, information or know how reflected in any of the materials provided to you (in whatever form) or otherwise developed during the course of providing services to you.

6.2. Ownership of Materials and Intellectual Property: All products, creative works, plans for designs, unique campaign ideas, slogans, copy themes, preliminary sketches, layouts, copy, artwork, production services, public and other marketing material (whether on paper, computer disk, by email or in some other digital format) accepted by Think, shall, upon you paying Digital Entrepreneur Agency in full for the relevant materials, be your property, except to the extent that any intellectual property rights therein have been reserved by Digital Entrepreneur Agency or third parties engaged or employed by Digital Entrepreneur Agency.

6.3. Portfolio Rights. Digital Entrepreneur Agency retain the right to showcase your project on their website and design portfolio for the sole purpose of promoting our work.

6.4. Working Files and Copyright.

Digital Entrepreneur Agency own the legal copyright of our working files. Working files are our intellectual property and this can be and not limited to design concepts, design elements, infographics, fonts and imagery. Working files are not released as part of our projects. If you wish to be supplied working files, then this needs to be requested and we will supply a quote for this release.

7. Indemnity:

7.1. All services may be used for lawful purposes only. You agree to indemnify and hold Digital Entrepreneur Agency harmless from any claims resulting from your use of our service that damages you or any other party.

8. Liability:

8.1. Our total liability to you in contract or in tort arising in connection with this contract shall not exceed the total price paid by you. We shall have no liability for loss of profits, business, revenue, goodwill or anticipated savings or for any other indirect or consequential loss.

9.Variation:

9.1. Variation: These Terms and Conditions (and/or the contents of any agreement to which they relate) may be varied or superseded at any time by agreement in writing between us. Any such variation shall not affect any rights or obligations of either of us that may already have accrued, unless otherwise specifically agreed.
